This Indemnity Waiver applies to all purchases of CaliLean products. By placing an order, clicking an agreement checkbox, submitting checkout information, creating an account, or otherwise completing a transaction through the CaliLean website, you confirm that you have read, understood, and agreed to this Indemnity Waiver.

1. Research use only acknowledgement

You acknowledge and agree that all CaliLean products are sold strictly for in-vitro research and laboratory use only.

Products are not for human or animal consumption. They are not drugs, supplements, food, cosmetics, medical products, or consumer health products. They are not intended for ingestion, injection, administration, therapeutic use, diagnostic use, clinical use, veterinary use, cosmetic use, personal use, or any other bodily use.

You understand that CaliLean products have not been approved by the U.S. Food and Drug Administration for human or animal use.

2. Purchaser responsibility

You accept full responsibility for the purchase, possession, storage, handling, and use of any CaliLean product.

You agree that you are responsible for complying with all applicable federal, state, local, institutional, laboratory, and professional rules, laws, and regulations related to your purchase, possession, storage, handling, and use of any product.

You confirm that you have the knowledge, facilities, procedures, and safeguards needed to handle research materials lawfully and safely.

3. Prohibited use

You agree that you will not use any CaliLean product for any prohibited purpose, including:

• Human use.
• Animal use.
• Personal use.
• Ingestion.
• Injection.
• Topical application.
• Inhalation.
• Implantation.
• Dosing or administration.
• Therapeutic, diagnostic, clinical, veterinary, cosmetic, weight-loss, anti-aging, bodybuilding, athletic-performance, or health-outcome use.
• Resale, redistribution, relabeling, compounding, dispensing, or supplying products to unauthorized third parties.

4. Release of claims

To the maximum extent permitted by law, you release, discharge, and waive any claims, demands, causes of action, liabilities, damages, losses, costs, and expenses arising out of or related to your purchase, possession, storage, handling, or use of any CaliLean product.

This release applies whether the claim is known or unknown, foreseeable or unforeseeable, direct or indirect, and whether based on contract, tort, negligence, strict liability, statute, or any other legal theory.

5. Indemnification

You agree to defend, indemnify, and hold harmless CaliLean, its owners, officers, directors, employees, contractors, agents, affiliates, partners, suppliers, service providers, successors, and assigns from and against any claims, demands, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Your purchase, possession, storage, handling, or use of any CaliLean product.
• Your misuse of any CaliLean product.
• Your breach of this Indemnity Waiver.
• Your breach of CaliLean’s Terms of Service, Research Use Only terms, or other policies.
• Your violation of any law, rule, regulation, or third-party right.
• Any prohibited use, resale, redistribution, relabeling, compounding, dispensing, or transfer of any product.
• Any personal injury, property damage, regulatory issue, investigation, enforcement action, or other harm connected to your purchase, possession, storage, handling, or use of any product.

6. No medical or use guidance

You understand that CaliLean does not provide medical advice, health advice, treatment advice, dosing guidance, administration guidance, or recommendations for human or animal use.

Any product descriptions, research notes, references, customer support responses, or website content are provided for research and documentation purposes only. They must not be interpreted as instructions, approval, encouragement, or guidance for any prohibited use.

7. Compliance review and account action

CaliLean may cancel orders, restrict accounts, refuse future service, document incidents, or deny refund eligibility where permitted by law if any communication, order note, support request, review, dispute, return request, or other evidence suggests prohibited use, misuse, resale, redistribution, fraud, non-compliance, or violation of CaliLean policies.

8. Binding effect

This Indemnity Waiver is binding on you and your heirs, executors, administrators, representatives, successors, and assigns.

9. Agreement at checkout

By completing your transaction online, including by clicking an agreement checkbox, submitting an order, creating an account, or completing checkout, you confirm that you have read, understood, and voluntarily agreed to this Indemnity Waiver.

If you do not agree to this Indemnity Waiver, do not purchase any CaliLean product.
